1. Introduction and Our Role

These Terms and Conditions ("Terms") govern the provision of conveyancing onboarding services by Edgerow Solutions Ltd. By accepting a quotation and making an upfront payment, you agree to be bound by these Terms, which constitute a legally binding instruction.

Non-Regulated Status: We are not regulated by the Solicitors Regulation Authority (SRA) or the Council for Licensed Conveyancers (CLC).

Administrative Facilitation: Our services are purely administrative. Any legal terminology used is for clarity only and does not constitute legal advice.

Jurisdiction: Services are exclusively offered for property transactions within England and Wales.

Vulnerable Clients: If you consider yourself a vulnerable client (due to age, health, financial hardship, etc.), please inform us immediately so we can adjust our procedures or refer you to specialist support.

2. The Onboarding Service

For the quoted upfront fee, we provide the following:

Identity & AML Checks: Facilitating verification via our third-party partner, Armalytix.

Source of Funds (SOF): Assisting in gathering documentation related to your transaction funds.

Searches and Titles: Ordering standard searches (Environmental, Local Authority, Water & Drainage) and property titles from HM Land Registry.

Law Firm Liaison: Transmitting all documentation to the designated Law Firm upon completion.

3. Fees and Payments

Quote Validity: Quotations are valid for 30 days.

Upfront Fee: This fixed fee is payable in full before services commence. It includes file setup, standard searches, and third-party check costs.

Non-Refundable Policy: Once we are instructed to proceed, the upfront fee becomes non-refundable.

Referral Transparency: We do not receive or pay referral fees. However, the introducing estate agent may receive a fee from the Law Firm upon completion. This does not increase your legal costs.

Right to Decline: We reserve the right to refuse onboarding if a matter is unusually complex or high-risk.

4. Relationship with the Law Firm

Direct Engagement: You will enter a separate, direct client-solicitor relationship with the Law Firm.

Responsibility: The Law Firm is solely responsible for all legal advice, drafting contracts, and financial aspects like Stamp Duty.

Liability: Edgerow Solutions Ltd accepts no liability for any advice, actions, or omissions by the Law Firm.

5. Your Responsibilities

Accuracy: You warrant that all information provided is true, accurate, and not misleading.

Cooperation: You agree to respond promptly to requests to avoid onboarding delays.

6. Data and Security

Data Sharing: By using our service, you consent to your data being shared with the Law Firm and third-party providers for compliance.

Platform Use: You must maintain the confidentiality of your login credentials. While we use encryption, we cannot accept liability for breaches caused by third parties outside our control.

7. Limitation of Liability and Cancellation

Maximum Liability: Our total aggregate liability is limited to the total upfront fee paid by you.

Statutory Right to Cancel: You have a 14-day cooling-off period. However, by making payment, you request that services begin immediately. If you cancel within 14 days, you are liable for the proportion of services already performed, including third-party costs.
